Please read carefully. These Terms constitute a legally binding contract under the Indian Contract Act, 1872. By engaging our services or signing a Service Agreement, you unconditionally accept these Terms.
By accessing thescaleservice.com, booking a consultation, signing a Service Agreement, making a payment, or using any SCALE Service platform or service, you ("Client," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any applicable Service Agreement.
These Terms form a legally enforceable contract under the Indian Contract Act, 1872. If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity.
SCALE Service provides AI-powered marketing automation and advertising management services to business owners. Our services include:
The specific scope, deliverables, pricing, and timelines are defined in your individual Service Agreement. These Terms apply to all engagements. All fees are quoted in Indian Rupees (INR) unless expressly stated otherwise.

SCALE Service reserves the right to decline any engagement at its sole discretion. Misrepresentation of eligibility may result in immediate termination without refund.

Payments are processed by Stripe, Inc. By providing your payment information, you agree to Stripe's Terms of Service and Privacy Policy. Stripe is a PCI DSS Level 1 certified payment processor. We do not store your card details.
Service fees are specified in the applicable Service Agreement and quoted in Indian Rupees (INR). Monthly retainer fees are invoiced in advance. The first month's fee is due at signing or before campaign launch. Payment methods accepted are those available through Stripe's platform (including credit/debit cards, net banking, and UPI where available via Stripe).
Goods and Services Tax (GST) is charged at the applicable rate over and above all fees. Clients with a valid GSTIN may provide it to receive a B2B invoice. If you are required to deduct TDS, you must provide Form 16A within 15 days of the end of each quarter. The net amount received after TDS must equal the agreed fee.
If a payment fails, Stripe will automatically retry the charge according to its retry schedule. We will notify you of a failed payment by email. If payment is not received within 7 days of the due date, SCALE Service reserves the right to suspend active campaigns until the outstanding amount is settled. If payment remains outstanding for 14 days, we may terminate the Service Agreement.
All payment information is transmitted using TLS encryption and processed by Stripe, which maintains PCI DSS Level 1 certification — the highest level of payment card industry security. SCALE Service never handles, transmits, or stores raw card data on its own systems.
Important disclosure: By engaging a monthly retainer service, you authorise SCALE Service to charge your payment method on file via Stripe on a recurring monthly basis until you cancel in accordance with our Cancellation & Refund Policy.
The following terms apply to all recurring billing arrangements:
Stripe will store a secure token representing your payment method to facilitate recurring billing. Stripe's handling of this data is governed by Stripe's privacy policy and terms of service.
All proprietary systems, methodologies, AI configurations, automation frameworks, campaign structures, templates, and related materials developed by SCALE Service are protected under the Copyright Act, 1957, and applicable Indian intellectual property laws. These remain the exclusive property of SCALE Service and are licensed to you during the active engagement only. They may not be copied, reverse-engineered, shared, or used after termination.
All creative assets, brand materials, business data, audience data, lead records, and advertising account data belonging to you remain your property at all times. Upon termination, SCALE Service will return all deliverables created on your behalf and revoke all access to your accounts within 5 business days.
Ad copy, creatives, landing pages, and assets produced specifically for your campaigns are assigned to you upon receipt of full payment of all outstanding fees.
Both parties agree to maintain the confidentiality of the other party's proprietary information, including business strategies, financial information, customer data, technical processes, pricing, and system configurations. Neither party shall disclose confidential information without prior written consent, except as required by law or as necessary to deliver contracted services.
This confidentiality obligation is governed by the Indian Contract Act, 1872, and survives termination of any Service Agreement for 3 years.
Marketing and advertising results depend on many variables outside SCALE Service's direct control, including market conditions, your business operations, economic conditions, platform algorithm changes, and competitive landscape. We cannot guarantee specific business outcomes unless expressly stated in writing in a Service Agreement.
Where a written performance commitment is included in your Service Agreement, the terms, measurement methodology, and remedies are governed exclusively by what is stated in that agreement. No verbal representation is binding. Any written commitment is contingent upon you meeting all obligations under these Terms.

Nothing in these Terms limits liability for fraud, wilful misconduct, or death or personal injury caused by negligence, as such limitations are not permitted under Indian law.
You agree to indemnify and hold harmless SCALE Service and its directors, employees, contractors, and agents from and against any claims, damages, costs, and expenses arising out of:
Either party may terminate a Service Agreement in accordance with our Cancellation & Refund Policy, which is incorporated into these Terms by reference.
SCALE Service may terminate immediately and without notice if you:
Upon termination, all licences to SCALE Service's proprietary systems terminate immediately, and all outstanding fees become immediately due and payable via Stripe.
These Terms are governed by the laws of India. The parties submit to the jurisdiction of competent Indian courts for matters not resolved through arbitration.
Both parties agree to attempt to resolve disputes informally with 30 days' written notice before initiating formal proceedings.
If informal resolution fails, disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator, with the seat and venue in India, in English.
Any disputes relating to Stripe charges or payment processing must first be raised with SCALE Service at billing@thescaleservice.com before contacting Stripe or your card issuer. We will investigate and respond within 5 business days. Initiating a chargeback without following this process constitutes a breach of these Terms.
Nothing in this clause restricts your right to approach the appropriate Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019.
SCALE Service may modify these Terms at any time. Active clients will be notified via email at least 14 days before material changes take effect. Continued use of our services after the effective date constitutes acceptance of the modified Terms.
